Terms of Service for AutoAIReels

These Terms of Service ("Terms") form a legally binding agreement between you ("you," "your," or "User") and Divyanshu Negi, an individual sole proprietor operating under the brand name "AutoAIReels" ("we," "us," or "our"), governing your access to and use of the AutoAIReels mobile application on iOS and Android (the "App") and any related services (collectively, the "Services").

By downloading, installing, accessing, or using the App, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the App.

To use the App, you must:

• Be at least 13 years old, or the minimum age of digital consent in your country (16 in most EU/EEA countries)
• Have the legal capacity to enter into a binding contract
• Not be prohibited from receiving services under the laws of your country or any applicable jurisdiction

If you are between 13 and 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

The App is rated 12+ and is not intended for children under 13.

3.1 Account Creation

• iOS: Accounts are created anonymously and tied to your device. No email or personal identifier is required for basic use.
• Android: Account creation requires a valid email address to prevent abuse of our free-credit system.

You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it.

3.2 Account Accuracy

You agree to provide accurate information when creating an account (where applicable) and to keep that information up to date.

3.3 One Account Per Person

You may not create multiple accounts to circumvent free-credit limits, subscription limitations, or enforcement actions. Doing so may result in termination of all your accounts without refund.

4.1 What the App Does

AutoAIReels is an AI-powered video creation tool that transforms text prompts into short-form videos. The App uses third-party AI providers (OpenAI, Anthropic, and Replicate) to generate text, images, voiceovers, and video content based on your inputs.

4.2 Free Credits

New users receive 1,000 free credits upon sign-up to try the App. These credits are sufficient to generate approximately one to two videos. Credits are non-transferable, have no cash value, and may expire or be adjusted at our discretion.

4.3 Service "As-Is"

The Services are provided on an "as-is" and "as-available" basis. We do not guarantee uninterrupted availability, specific uptime percentages, or error-free operation. The App depends on third-party AI providers and infrastructure, which may experience outages, changes, or limitations outside our control.

4.4 Service Changes

We may modify, suspend, or discontinue any part of the Services at any time, with or without notice. Where reasonably possible, we will provide advance notice of material changes.

5.1 Subscription Plans

We offer the following subscription plans:

• Weekly Pro: Unlocks premium features for 7 days, auto-renewing weekly
• Annual Pro: Unlocks premium features for 12 months, auto-renewing annually

Current pricing is shown within the App at the time of purchase.

5.2 Billing and Auto-Renewal

All subscriptions are billed through your Apple App Store account (iOS) or Google Play account (Android) at the time of purchase.

Subscriptions automatically renew at the end of each billing period unless cancelled at least 24 hours before the renewal date. The renewal charge will be applied to your Apple or Google account using the payment method on file.

5.3 Cancellation

You may cancel your subscription at any time through your Apple App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period. You will retain access to premium features until the end of that period.

We do not handle cancellations directly. You must cancel through the platform where you subscribed.

5.4 Refunds

All refund requests are handled exclusively by Apple (for iOS subscriptions) or Google (for Android subscriptions) in accordance with their respective policies.

• iOS users: Submit refund requests at https://reportaproblem.apple.com
• Android users: Submit refund requests through the Google Play Store

We do not issue direct refunds and have no discretion over platform refund decisions.

5.5 Price Changes

We may change subscription prices from time to time. For existing subscribers, price changes will take effect at the next renewal and will be communicated in advance as required by Apple's and Google's policies. Your continued subscription after a price change constitutes acceptance.

5.6 Taxes

All prices are inclusive of applicable taxes where required by law. Where taxes are added at checkout, you are responsible for them.

6.1 Your Content — You Own It

You retain full ownership of all content you generate using the App, including all text prompts you submit and all videos, images, audio, and other media output produced through the App.

We claim no ownership, no copyright, no license, and no commercial interest in your generated content. You are free to:

• Use your generated content for any personal or commercial purpose
• Publish it on any platform (YouTube, TikTok, Instagram, advertising campaigns, client work, etc.)
• Sell, distribute, or monetize it
• Modify, remix, or edit it

6.2 Our Intellectual Property

The App itself — including its source code, design, user interface, branding, logos, documentation, and underlying prompts and systems — is our exclusive intellectual property and/or licensed from third parties. Noin these Terms grants you any rights to our intellectual property except the limited right to use the App as intended.

6.3 No Exclusivity of AI Outputs

Because AI models generate content based on patterns learned from training data, similar or identical outputs may be produced for different users submitting similar prompts. You acknowledge that you cannot claim exclusive rights over elements of generated content that another user could plausibly generate independently. Your ownership extends to your specific output, not to the underlying style, theme, or pattern.

6.4 Feedback

If you send us suggestions, feature requests, or feedback, we may use that feedback freely without obligation to you.

You agree not to use the App to create or distribute content that:

7.1 Prohibited Content

• Depicts real identifiable individuals (including celebrities, politicians, or private persons) without their explicit consent
• Is misleading, deceptive, or constitutes a deepfake intended to deceive
• Infringes third-party intellectual property rights, including copyrighted characters, trademarks, or branded content (examples: Disney characters, Marvel characters, branded IP)
• Is defamatory, harassing, threatening, or promotes violence against any person or group
• Is sexually explicit, pornographic, or contains nudity (note: our AI providers block these by design)
• Exploits or harms minors in any way
• Promotes illegal activities, self-harm, or dangerous behavior
• Violates any applicable law in your jurisdiction or ours

7.2 Prohibited Conduct

You agree not to:

• Reverse-engineer, decompile, scrape, or attempt to extract the App's source code, prompts, models, or systems
• White-label, resell, sublicense, or rebrand the App or any part of it
• Use the App to develop a competing product or service
• Circumvent our credit system, subscription limits, or any security measures
• Create multiple accounts to evade enforcement actions or credit limits
• Use automated tools (bots, scripts) to interact with the App
• Interfere with the App's operation, infrastructure, or other users' experience
• Submit prompts designed to bypass our or our AI providers' content safety systems

7.3 Your Responsibility for Content

You are solely responsible for all content you create using the App. You represent and warrant that:

• You have all necessary rights, permissions, and consents for any inputs you provide
• Your content will not violate these Terms or any applicable law
• You will review and fact-check AI-generated content before publishing or distributing it

We are not responsible for, and do not endorse, the content you create.

8.1 Enforcement Ladder

If we determine that you have violated these Terms, we may take the following actions, escalating based on severity and history:

1. Warning notification — a notice informing you of the violation with a request to remove offending content or change behavior
2. Account suspension — temporary loss of access to the App
3. Permanent account termination — complete loss of access, with no refund

8.2 Immediate Suspension for Copyright Violations

Content that infringes third-party copyright (Section 7.1) will result in immediate suspension without prior warning. You will be notified and given the opportunity to remove the content. Repeated copyright violations will result in permanent ban.

8.3 Permanent Ban for Evasion

If we detect repeated account creation by the same user to evade a suspension or ban, we reserve the right to permanently ban all associated accounts and devices.

8.4 Our Right to Terminate

We reserve the right to suspend or terminate your account at any time, with or without cause or notice. In practice, we typically only take such action for violations of these Terms, fraud, abuse, legal compliance reasons, or if we discontinue the Services.

If we terminate your account:

• For cause (your violation): No refund. Your subscription cancels immediately.
• Due to discontinuation of the Services: You may be entitled to a pro-rated refund through Apple or Google for the unused portion of your subscription, subject to their refund policies.

9.1 Accuracy

AI-generated content can be inaccurate, misleading, biased, or factually wrong. The App's output is generated by probabilistic models and should never be treated as authoritative information. You are responsible for reviewing, verifying, and fact-checking all content before publishing, distributing, or relying on it for any purpose.

We make no warranty regarding the accuracy, truthfulness, reliability, or fitness of AI-generated content for any specific purpose.

9.2 Third-Party AI Dependency

The App relies on third-party AI providers, specifically OpenAI, Anthropic, and Replicate (including models hosted on Replicate such as Pruna AI). These providers may:

• Change their models, pricing, or terms of service
• Modify content safety policies
• Experience outages, degraded performance, or remove specific capabilities
• Discontinue services entirely

We are not liable for any disruption, change, or loss resulting from third-party AI provider actions. When a provider's behavior changes, the App's output or availability may change accordingly.

9.3 No Professional Advice

AI-generated content from the App does not constitute professional advice of any kind, including legal, medical, financial, or psychological advice. Do not rely on it as a substitute for qualified professional consultation.

THE APP AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
• Warranties that the App will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy, reliability, or quality of AI-generated content
• Warranties regarding the availability or performance of third-party services

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply only to the extent permitted by law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

11.1 Liability Cap

Our total aggregate liability to you for any claim arising out of or relating to these Terms or your use of the App shall not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.

If you have not paid us anything in the previous 12 months, our total liability is limited to USD $100 (or equivalent in local currency).

11.2 Excluded Damages

In no event will we be liable for any:

• Indirect, incidental, consequential, special, exemplary, or punitive damages
• Lost profits, lost revenue, lost data, lost business opportunities, or lost goodwill
• Damages resulting from third-party AI provider outages, changes, or actions
• Damages resulting from content you or others generated using the App
• Damages from unauthorized access to your account due to your failure to secure it

This limitation applies whether the claim arises in contract, tort (including negligence), statute, or any other legal theory, even if we have been advised of the possibility of such damages.

11.3 Jurisdictional Limits

Some jurisdictions do not allow limitations on certain damages. In those jurisdictions, the limitations above apply only to the extent permitted by law.

You agree to indemnify, defend, and hold harmless Divyanshu Negi (operating as AutoAIReels), our affiliates, agents, and service providers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the App
• Your violation of these Terms
• Your violation of any law or third-party right
• Content you generate, upload, or distribute using the App

13.1 Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

13.2 Mandatory Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration seated in Goa, India, under the Arbitration and Conciliation Act, 1996 (as amended).

• The arbitration shall be conducted by a sole arbitrator mutually agreed upon by the parties, or failing agreement, appointed in accordance with the Act
• The language of arbitration shall be English
• The arbitrator's decision shall be final and binding
• Each party shall bear its own costs unless the arbitrator decides otherwise

13.3 Jurisdiction

Subject to the arbitration clause above, you agree that the courts located in Goa, India shall have exclusive jurisdiction over any matter not subject to arbitration.

13.4 Exceptions for Consumer Protection Laws

If you are a consumer residing in the European Union, the European Economic Area, the United Kingdom, or a jurisdiction where mandatory arbitration clauses are unenforceable against consumers (including California for certain claims), you may have the right to bring disputes in your local courts under your local consumer protection laws. Nothing in this section is intended to waive rights you cannot legally waive.

13.5 Individual Claims Only

You agree that any dispute will be brought in your individual capacity and not as a class, collective, or representative action.

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.

When we make material changes:

• We will update the "Last Updated" date at the top of these Terms
• We will notify you through an in-app notification or email (where available) at least 14 days before the changes take effect
• Your continued use of the App after the effective date constitutes acceptance of the updated Terms

If you do not agree to updated Terms, you must stop using the App and cancel your subscription (if any) before the effective date.

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the App and supersede all prior agreements or understandings.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full effect.

15.3 No Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

15.4 Assignment

You may not assign or transfer your rights under these Terms. We may assign our rights and obligations to any affiliate, successor, or acquirer without restriction.

15.5 Relationship

Nothing in these Terms creates a partnership, employment, joint venture, or agency relationship between you and us.

15.6 Third-Party Stores

These Terms are between you and us only, not Apple or Google. Apple and Google are not responsible for the App, its content, or any claims arising from your use of it. Your use of the App is also subject to Apple's App Store Terms of Service and Google's Play Store Terms, as applicable.
